The Take That singer - who joined Tulisa Contostavlos, Louis Walsh and Kelly Rowland on the panel of last year's show - has confirmed he has been speaking to ITV1 bosses since December about the possibility of renewing his contract for another year.
He said: "I started talks two weeks before the last one finished. We are talking."
Series chiefs are said to be keen to devise a format that would mean the star is free to work on a new Take That album and perhaps even a tour, as well as being free to judge the talent competition.
Meanwhile, it is thought Gary - who mentored runner-up Marcus Collins on last year's show - could even bag a pay rise from the £1.5 million he earned for the 2011 series.
An insider told The Sun newspaper: "Gary loved being on the show and genuinely wants to be back. While viewing figures were down a few million, the feeling is it would have been worse without Gary."
'X Factor' boss Simon Cowell has previously admitted he fears Gary could quit the show to focus on his commitments with Take That.
He recently said: "This show takes over your life, it is not a two day a week show. I always thought that with Gary he would have the Take That commitment in 2012.
"But there has to be a certain amount of unpredictability with this show, it is what keeps people interested."
